Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, mobile applications, and services operated by Nobox Ltd trading as everyshift, including everyshift.co and any related products or services we provide (collectively, the "Services").

These Terms form a legally binding agreement between you and Nobox Ltd ("we", "us", "our", or "everyshift") regarding your use of the Services.

By accessing or using everyshift, you agree to these Terms. If you do not agree to these Terms, please do not use the Services.

1. Our Service

Our Mission is to provide a platform to seamlessly manage the staffing and shift management process with complete transparency end to end, creating smoother operations and greater efficiency. To help advance this mission, we need to be able to identify you, your event or staffing requirements, and your skills or profile information.

In providing the everyshift platform, we do not participate in the actual hiring, engagement, staffing, payroll, or payment transactions between users or organisations using the Services. We do not act as an employer, staffing agency, payroll provider, recruitment agency, labour hire provider, or contracting party for opportunities, projects, shifts, events, staffing arrangements, or agreements made through the Services.

Users, agencies, clients, employers, organisers, and other parties using the Services are solely responsible for their own agreements, staffing decisions, communications, payroll obligations, tax obligations, legal compliance, and operational activities.

2. Who can use everyshift?

everyshift can only be used in compliance with these terms and all applicable laws.

You can only use everyshift if:

• You are at least 18 years old or, if you are under the age of 18, you possess the legal consent of your parent or guardian to access and use the Service under applicable laws;

• You have not previously been suspended, restricted or removed from the Services;

• You complete the registration process and provide accurate, correct and complete information

• Your registration and your use of the Service is in compliance with any and all applicable laws and regulations.

In order to use our Services, you only need one account. You are not permitted to register as a User under multiple identities, personas, or aliases (whether they are false or not). If you are an entity, organisation, or company, the individual accepting this Agreement on your behalf represents and warrants that they have authority to bind you to this Agreement.

You are not permitted to use everyshift if:

• We have previously disabled, suspended, or terminated your account for breaches of our Terms, policies, or applicable laws;

• You are prohibited from accessing or using the Services under applicable laws or regulations;

• You are directly or indirectly involved in operating a competing platform or service in a way that improperly accesses, copies, exploits, or uses the Services or related data.

You agree that we may update, modify, improve, or discontinue parts of the Services, software, mobile applications, or features from time to time.

3. Responsibility for minors

everyshift is intended for persons aged 18 or over. Legal guardians may register and operate a profile for a minor where permitted by law. By registering and operating a profile on behalf of a minor, you acknowledge that some parts of everyshift may contain material that is inappropriate for minors, and you agree to supervise all activity that occurs on the minor's profile.

Individuals under the age of 18 may not operate their own registered profile on everyshift unless otherwise permitted by us or applicable law. If you register on behalf of a minor, you must ensure both you and the minor comply with these Terms and the Privacy Policy, including providing any required consents on behalf of the minor.

Any breach of these Terms by the minor will be treated as a breach by you. You must ensure that any access by the minor to everyshift, or communications made through everyshift, are appropriately supervised by you.

You or a minor registered by you are not permitted to upload unlawful, explicit, or otherwise inappropriate content through the Services.

From time to time, everyshift may advise you of additional policies or conditions that apply to profiles for minors. You must comply with those policies or conditions if you wish to continue using everyshift.

4. Our License

To enable you to use and enjoy everyshift, we grant you a limited, non-exclusive, non-transferable, and revocable licence to access and use our websites, mobile applications, platform, and Services in accordance with these Terms.

This licence is provided solely for your personal or internal business use and does not include the right to sublicense, distribute, modify, copy, reproduce, sell, or create derivative works based on everyshift or the Services.

everyshift may suspend, restrict, or revoke this licence at any time if you breach these Terms, our policies, or applicable laws.

5. Your Account

To access everyshift, you must register for an account. When registering, you may be required to provide information about yourself, including your name, email address, phone number, organisation details, or other contact information.

You agree that the information you provide is accurate and that you will maintain and update your account information to ensure it remains current and correct. We may contact you to verify your details.

You are responsible for all activity that occurs under your account. To help protect your account, you should keep your login details secure, change your password regularly, and not allow anyone else to access or use your account unless expressly authorised by everyshift.

You may not share your account credentials or allow others to access your account. Paid subscriptions user seats are intended for use only by the individual or organisation they were assigned to and may not be shared across multiple users unless expressly authorised by everyshift.

Unless we provide prior written approval, your account is personal to you or your organisation and may not be sold, transferred, leased, shared, lent, or traded.

Anything you upload, post, submit, share, store, schedule, message, or otherwise make available through everyshift is referred to as “User Content”. You retain ownership of your User Content, however you are solely responsible for the legality, accuracy, permissions, and use of any User Content made available through the Services.

6. Commercial Use

If you open an account for a company, organisation, agency, or other entity, then “you” includes both you and that entity. You confirm that you are authorised to bind that entity to these Terms and to grant all permissions and licences set out in these Terms on its behalf.

You agree that by using the Services on behalf of an entity, you are entering into these Terms for and on behalf of that entity, and that the entity is responsible for all use of the Services under that account.

7. How everyshift can use your Content

You grant everyshift a non-exclusive, royalty-free, transferable, sublicensable, worldwide licence to host, use, store, display, reproduce, modify, and distribute your Content on and through the Services solely for the purpose of operating, providing, improving, and developing the Services.

Nothing in these Terms limits any other rights we may have in relation to User Content under applicable law or any other agreement.

We are under no obligation to monitor, review, or edit User Content and we are not responsible or liable for User Content posted by users. However, we may, at any time and without prior notice, remove, block, or restrict access to any User Content that we reasonably believe breaches these Terms, applicable law, or is otherwise inappropriate for the Services.

You acknowledge that by using the Services you may be exposed to User Content from a variety of sources, and that such content may be inaccurate, incomplete, or objectionable. To the maximum extent permitted by law, you waive any claims against everyshift arising from User Content.

We do not permit copyright-infringing activity on the Services and may remove content or suspend accounts where we reasonably believe such activity is occurring.

When you create a profile or upload content, you understand that this information may be displayed within the platform and may be accessible to other authorised users of the Services in accordance with their permissions and settings.

You agree not to misuse the communication tools within everyshift, including sending spam, abusive messages, or using the Services for purposes unrelated to their intended use.

We may suspend or terminate access to the Services, including your account, if you breach these Terms or misuse the Services. In such cases, we may also restrict or remove access to your Content where appropriate.

8. How long do we keep your Content?

Following termination or deactivation of your everyshift account, or if you remove any Content from everyshift, we may retain certain Content for a reasonable period of time for backup, archival, security, audit, or legal purposes.

Some Content may continue to be accessible where it has been shared with or stored by other users of the Services (for example, schedules, timesheets, bookings, or agreements that exist within other users’ accounts).

We are not responsible for Content that has been shared or accessed by other users prior to removal or deletion, or for any copies retained outside of our control.

It is your responsibility to ensure you keep copies of any Content you may need before deleting or removing it from the Services.

9. Prohibited Content

By using everyshift, you agree not to:

• Use the Services for any illegal purpose or in violation of any applicable local, national, or international laws or regulations;

• Violate or encourage others to violate any rights of a third party, including intellectual property rights;

• Post, upload, or distribute any User Content or other material that is unlawful, defamatory, misleading, or that a reasonable person would consider objectionable, offensive, pornographic, harassing, threatening, hateful, or otherwise inappropriate;

• Interfere with security-related features of the Services, including attempting to disable, bypass, or reverse engineer any part of the Services except where permitted by applicable law;

• Interfere with or disrupt the operation of the Services or any user’s experience, including by uploading malware, viruses, or other harmful code, sending spam or unsolicited communications, collecting personal information without consent, or interfering with networks or systems connected to the Services;

• Attempt to gain unauthorised access to any accounts, systems, servers, or networks connected to the Services, or attack the Services via denial-of-service or similar methods;

• Engage in fraudulent activity, including impersonation, misrepresentation of identity or affiliation, accessing another user’s account without permission, or falsifying information;

• Sell, transfer, or exploit access to the Services, accounts, or any part of the platform without our prior written consent;

• Attempt to do any of the above, or assist or enable any other person to do so.

We take security seriously. While we implement reasonable safeguards, we do not guarantee that the Services will be free from errors, bugs, or security vulnerabilities. You are responsible for using appropriate security measures, including antivirus protection and secure system configuration, when accessing the Services.

We may report any suspected unlawful or abusive activity to relevant authorities and cooperate with them where required, including by disclosing information where legally permitted or required. In the event of serious breach, we may suspend or terminate your access to the Services immediately.

10. User Conduct

We do not control the conduct of users of the Services and we are not responsible for the actions, content, or behaviour of any users, including any listings, communications, or interactions between users.

We do not pre-screen all User Content, listings, feedback, or communications before they are posted on everyshift. Users are solely responsible for the information they provide and their interactions with other users.

To the maximum extent permitted by law, we are not responsible for any loss, damage, or issues arising from user conduct or user-generated content, including where:

• a user provides inaccurate, incomplete, or misleading information;

• a user registers under false pretences or engages in fraudulent or deceptive conduct;

• a listing, booking, or availability is inaccurate or changes;

• a user fails to attend, complete, or fulfil a booking or commitment.

• or any other act, omission, or circumstance arising from or related to user conduct or user-generated content.

We may take reasonable steps to investigate reports of misconduct and may suspend or remove users or content where we reasonably believe there has been a breach of these Terms or applicable law.

11. Feedback

We take feedback seriously and we hope you do too. Feedback submitted through everyshift must be fair, relevant, and not abusive, defamatory, or retaliatory.

Feedback will be edited or removed if everyshift considers that:

• contains offensive, abusive, or inappropriate language;

• contains defamatory or unlawful statements;

• includes another user’s private or personal information, including contact details or information that could identify them;

• is submitted by a user whose account has been suspended or terminated;

• is inaccurate, misleading, or does not reflect the relevant interaction or booking;

• relates to an ongoing investigation, legal process, or complaint;

• is required to be removed by law or a court order; or

• we otherwise reasonably consider it necessary to remove in order to protect the integrity of the Services or our users.

Users are responsible for the content of any feedback they submit. You must not post feedback that is false, defamatory, or intended to harm another user’s reputation.

We may remove any feedback that breaches these Terms or applicable law. We encourage users to provide constructive and respectful feedback at all times.

12. Respond to our Reasonable Requests

We may contact you from time to time to request additional information relating to your account, projects, bookings, or use of the Services where reasonably necessary.

For example, we may request information to verify the legitimacy of a project, confirm compliance with applicable laws or safety requirements, or support the proper operation of the Services.

You agree to provide accurate and timely responses to such requests where reasonably required for us to maintain the safety, integrity, and functionality of the Services.

13. Location Based Services

Some features of everyshift may use location information to provide, improve, or tailor the Services based on your location.

To enable Location-based Services, you may need to allow access to certain device settings, which may include GPS, IP address, network location, geofencing, or other available location technologies.

If you disable location permissions on your device, some features of the Services may not function properly or may be unavailable.

By enabling Location-based Services, you acknowledge and agree that we may collect and use location information where it is reasonably necessary to provide the Services and related functionality.

14. Feedback & Support

We value your feedback and are always interested to hear your ideas on how we can improve your everyshift experience. If you choose to submit comments, ideas or feedback, you agree that we are free to use them without any restriction or compensation to you. By accepting your submission, everyshift doesn’t waive any rights to use similar or related feedback previously known to everyshift, or developed by its employees or obtained from sources other than you. everyshift is under no obligation to implement requests. Any changes made or features created will be available to all users.

Technical support is only provided to paying account holders and is available via email.

everyshift will provide Support, including any maintenance or upgrades that everyshift releases for your account. You acknowledge that everyshift may be temporarily unavailable for scheduled maintenance or for unscheduled maintenance, either by everyshift or by third-party providers, or because of other causes beyond everyshift’s reasonable control. everyshift will not be liable for any such unavailability, but shall use reasonable efforts to provide advance notification of any scheduled service disruption.

15. Confidentiality

Each party must, unless it has the prior written consent of the other party:

a) keep confidential at all times any Confidential Information relating to Projects, Users, or the Services that they access or interact with through everyshift;

b) take reasonable security measures to protect the other party’s Confidential Information from unauthorised access, use, or disclosure; and

c) only disclose the other party’s Confidential Information to its employees, contractors, or professional advisers on a need-to-know basis, and ensure those parties are also bound by confidentiality obligations consistent with this clause.

The obligations in this clause do not apply to Confidential Information that:

a) is used or disclosed for the purpose of exercising rights or performing obligations under these Terms;

b) must be disclosed by law or regulation;

c) is publicly available through no breach of these Terms or any obligation of confidentiality;

d) was lawfully received from a third party without restriction and without breach of any confidentiality obligation; or

e) is disclosed by us in connection with a bona fide sale, merger, or restructuring of our business, provided that the receiving party is bound by confidentiality obligations that are no less protective than this clause.

16. Termination

You may terminate your account at any time by selecting ‘Deactivate Account’ in your Settings or by contacting support@everyshift.co.

You are responsible for properly cancelling your account. Upon cancellation, your access to the Services will end.

We may refuse access to the Services, or suspend or terminate your account at any time, with or without notice, including where you breach these Terms or where we reasonably consider it necessary to protect the Services, other users, or third parties.

Where reasonably possible, we will notify you of the reason for any suspension or termination. You agree not to bypass any restrictions on your account, including by creating a new account without our permission.

Upon termination, your right to access and use the Services will immediately cease. Your Content may be deleted and may not be recoverable.

Any provisions of these Terms which by their nature should survive termination will continue to apply after termination, including provisions relating to intellectual property, confidentiality, indemnity, liability, payments, governing law, and any provisions which by their nature are intended to survive termination.

17. Payments and Refunds

Access to certain features of everyshift may require a paid subscription, which is billed on a monthly or annual basis, depending on the plan you select.

All fees are charged in advance and are non-refundable except where required by applicable law.

You are responsible for ensuring your payment details are accurate and up to date. If a payment fails, we may suspend or restrict access to your account until payment is successfully processed.

Unless otherwise stated, subscriptions will automatically renew at the end of each billing period unless cancelled before the renewal date.

Refund requests must be submitted to support@everyshift.co within 14 days of the date the issue first arose or became reasonably apparent. Where a valid issue is identified, we may offer a refund or credit at our discretion unless a refund is required by applicable law.

We may change pricing or subscription plans from time to time. If we do, we will provide reasonable notice where required, and changes will apply from the next billing cycle.

If your account is terminated due to a breach of these Terms, no refund will be provided.

18. Account Inactivity

everyshift may terminate your account and delete any Content contained in it if there is no account activity (such as a login event or payment activity) for a continuous period of 12 months.

Where reasonably possible, we will attempt to notify you by email before terminating your account, giving you an opportunity to log in and keep your account active.

19. Intellectual Property & Copyright

everyshift and all content on the platform—including trademarks, service marks, software, designs, text, graphics, and other materials—are protected by Hong Kong and international copyright, trademark, and intellectual property laws.

By using everyshift, you agree that:

• You do not acquire any ownership rights in the Intellectual Property belonging to everyshift.

• You may not copy, modify, distribute, reproduce, or create derivative works from everyshift’s platform, features, or content without our prior written consent.

• You may not reverse engineer, decompile, or attempt to extract the source code of everyshift, except where this is expressly permitted by applicable law.

• You may not misuse, interfere with, or tamper with everyshift, or modify another website to falsely imply it is associated with everyshift.

• We may remove or disable content alleged to infringe intellectual property rights and may terminate accounts of repeat infringers.

When you submit content to everyshift (for example, profiles, project details, images, or related materials), you grant us a non-exclusive, worldwide, royalty-free licence to use, host, store, display, and reproduce such content for the purpose of operating, improving, and providing the Services.

20. Privacy

everyshift is a Hong Kong-based company and complies with the Hong Kong Personal Data (Privacy) Ordinance (PDPO), as well as other applicable privacy and data protection laws depending on your location.

You consent to the collection and use of certain personal information in accordance with our Privacy Policy. By using the Services, you consent to such processing and you warrant that all information you provide is accurate and up to date.

Please read our Privacy Policy carefully for information relating to the collection, use, storage, and disclosure of your personal information. The Privacy Policy is incorporated by reference into, and forms part of, this Agreement.

Your data may be stored and processed on secure servers located in Australia or other jurisdictions outside your country of residence, where necessary to provide the Services. We use appropriate technical and organisational security measures to protect your information.

Access to personal data is restricted to authorised everyshift personnel and is only permitted where necessary for operational, support, security, or legal purposes. We do not share personal data with third parties except where required by law, with your consent, or where necessary to provide and operate the Services (including trusted service providers who support our platform).

21. Security

We care about the security of our users and take reasonable measures to protect your account and Content. However, no system can be completely secure, and we cannot guarantee that unauthorised third parties will not be able to bypass our security measures.

You are responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activity that occurs under your account.

You must notify us immediately at support@everyshift.co if you suspect any unauthorised access to or use of your account, or any other security breach.

By using our Services, you acknowledge the inherent risks involved and agree to take appropriate precautions.

To the maximum extent permitted by law, everyshift is not liable for any loss or damage arising from your failure to maintain the security of your account.

22. Third Party Sites and Services

everyshift may contain links to third-party websites, services, advertisers, offers, or other events or activities that are not owned or controlled by everyshift.

We do not endorse and are not responsible or liable for any third-party websites, services, content, products, or materials.

If you access any third-party website, service, or content through everyshift, you do so at your own risk and agree that everyshift has no liability arising from your use of or reliance on them.

Your use of the Services may also be subject to third-party terms and conditions or fees, including those of your mobile network provider or other service providers.

23. Fees

everyshift reserves the right to determine pricing for the Services. You will be able to review and accept any applicable fees before using paid features of everyshift, and you agree to pay all fees due.

We may update our fees from time to time. Where required, we will notify you of any fee changes, usually by email, and we will generally provide at least two weeks’ notice. If we introduce new Services, the applicable fees will apply from the time those Services are launched. If you would like to know our current fees at any time, you may contact us.

By using the Services, you authorise everyshift to charge the credit card linked to your account for the applicable fees based on the plan you select.

We may carry out pre-authorisation checks on your credit card to confirm it is valid and has sufficient funds. While we take reasonable steps to process payments securely, we are not responsible for payment failures or declined transactions.

The Services may include automatically recurring payments for subscription plans (“Subscription Service”). If you activate a subscription, you authorise us to charge your credit card on a recurring basis until you cancel your subscription or your account is terminated.

Your subscription billing cycle begins on the date you first purchase a subscription. Fees will be charged in advance on a recurring basis as set out at the time of purchase.

You may cancel your subscription at any time by deactivating your account in your settings or by contacting support@everyshift.co. Cancellation will take effect at the end of the current billing period unless otherwise stated.

All fees are exclusive of GST or any equivalent applicable taxes unless explicitly stated otherwise.

24. Taxes, Fees & Commissions

You are responsible for any taxes, duties, or other government charges that may apply to payments you receive or make through everyshift, including in relation to any bookings or services arranged via the platform.

You are also responsible for any fees, charges, or commissions that may apply to your use of the Services, or that are otherwise required under applicable law in your jurisdiction.

25. Our System & Service may not always be available

We make reasonable efforts to ensure the security and performance of the Services. However, we do not guarantee that the Services will be uninterrupted, timely, secure, or error-free, or that they will meet your specific requirements or expectations.

The Services and all content provided through everyshift are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that any content available through the Services is accurate, complete, or up to date, and you agree that you use any such content at your own risk.

You are responsible for taking appropriate precautions to protect your systems and data, including ensuring that any content or files accessed through the Services are free from viruses or other harmful components.

Any information or content provided through the Services is for general information purposes only and does not constitute professional advice. You should obtain independent professional advice before relying on any information provided through the Services.

Where required by applicable law, nothing in these Terms excludes or limits any rights that cannot legally be excluded or limited.

26. Use our Service as intended

You agree to use everyshift only for its intended purpose and in accordance with these Terms and all applicable laws and regulations.

Be accurate and responsible: Any content you create, including projects, listings, bookings, or related information, must be accurate, current, complete, and must not be misleading or omit material information.

Comply with applicable laws: You are responsible for ensuring that your use of the Services complies with all applicable laws and regulations, including employment, labour, and anti-discrimination laws where relevant.

No misuse of the Services: You must not use the Services in any way that is fraudulent, deceptive, or intended to avoid fees, manipulate platform functionality, interfere with search or ranking systems, or advertise or promote unrelated products or services without our permission.

If you are unsure whether a particular use is permitted, you should contact us for clarification.

27. Indemnity

You agree to indemnify and hold harmless everyshift, its directors, employees, contractors, and affiliates from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

(a) your access to or use of the Services;
(b) your breach of these Terms;
(c) your violation of any applicable law or third-party rights; or
(d) any content you submit, post, transmit, or otherwise make available through the Services.

This indemnity applies to the maximum extent permitted by law.

28. Liability

To the maximum extent permitted by law, you assume full responsibility for any loss or damage arising from your use of the Services. everyshift is not liable to you or any other person in connection with the Services, your use of the Services, or the acts or omissions of any other users, whether in contract, tort (including negligence), breach of statutory duty, or otherwise.

To the maximum extent permitted by law, we are not liable for any failure or delay in performing our obligations where such failure or delay is caused by events outside our reasonable control.

To the maximum extent permitted by law, neither party will be liable for any:
loss of profit, revenue, savings, business, use, data, or goodwill; or indirect, incidental, special, or consequential loss or damage of any kind.

Neither party will be responsible or liable for any failure to perform its obligations where that failure is caused by the other party’s breach of these Terms or by the negligence or misconduct of the other party or its personnel.

Each party must take reasonable steps to mitigate any loss, damage, cost, or expense arising in connection with these Terms or the Services.

Nothing in these Terms excludes or limits any liability that cannot be excluded under applicable law.

29. Force Majeure

Neither party will be liable for any failure or delay in performing its obligations under these Terms where such failure or delay is caused by events beyond its reasonable control, including but not limited to natural disasters, strikes, lockouts, pandemics, government actions, telecommunications failures, fire, flood, or any other similar event or circumstance (a “Force Majeure Event”).

If a Force Majeure Event occurs, the affected party must notify the other party as soon as reasonably practicable and use reasonable efforts to minimise the impact of the event.

If a Force Majeure Event continues for more than 30 days, either party may terminate the Agreement by written notice, without further liability except for any rights or obligations that accrued prior to termination.

30. Disputes with another User

You agree to first attempt to resolve any disputes directly with the other user involved.

We are not a party to any agreement or arrangement between users of the Services, and we are not responsible for resolving disputes between users. However, we may, where appropriate, provide general support or information to assist in resolving a dispute.

Where a formal dispute process or legal proceeding is initiated, we may only provide another user’s personal information where required by law or where the requesting party has completed any required legal declaration or process (such as a statutory declaration where applicable). We may provide relevant forms upon request.

We will handle any requests for user information in accordance with our Privacy Policy and applicable law.

31. Disputes with everyshift

If you have a dispute with us, please contact us first and we will attempt to resolve it informally in good faith. If we need to contact you regarding a dispute, we will use the email address associated with your everyshift account or any other reasonable method of communication.

If a dispute cannot be resolved informally, either party may refer the matter to binding arbitration or, where applicable, bring a claim in a court of competent jurisdiction.

These Terms are governed by and construed in accordance with the laws of Hong Kong, and the courts of Hong Kong shall have jurisdiction over any dispute or claim arising out of or in connection with these Terms or the Services.

Nothing in these Terms limits any rights you may have under applicable mandatory consumer protection laws in your jurisdiction, to the extent such rights cannot be excluded or limited by contract.

32. Notification procedures and changes to these Terms

We may provide notices to you electronically, and you agree that we may do so by email, through the Services, or by any other reasonable method we determine.

We may update or modify these Terms from time to time. The most current version will always be available on our website.

Where changes are material, we will take reasonable steps to notify you. Your continued use of the Services after the updated Terms take effect will constitute acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.

33. We have broad rights and remedies if our terms are breached

Without limiting any other rights or remedies available to everyshift, if you breach these Terms, or where we reasonably consider it necessary to protect the Services, other users, or third parties, we may take any action we consider appropriate. This may include limiting your access to the Services, removing Content, issuing warnings, suspending or terminating your account, or refusing to provide the Services to you (and where applicable, your affiliated accounts).
